善意收购(friendly takeover) consists of a straight buyout of a company, and happens all the time. The shareholders receive cash or (more commonly) an agreed-upon number of shares of the acquiring company's stock.

恶意收购(hostile takeover)，指收购公司在未经目标公司未获通知，不管对方是否的情况下，所进行的收购活动。当事人双方采用各种攻防策略完成收购行为，并希望取得控制性股权，成为大股东。当中，双方强烈的对抗性是其基本特点。occurs when a company attempts to buy out another whether they like it or not.
